Terms and Conditions

  • Interpretation
    • References to the Equipment include all the components and parts, records, manual and handbook for it.
    • The obligations of the Supplier under this Agreement are to apply throughout the Hire Period.
    • The obligations of the Hirer under this Agreement are to apply throughout the Hire Period.
    • The Hirer will remain liable after the end of the Hire Period for any breaches of the obligations of the Hirer that have occurred during the Hire Period.
    • References to the Equipment include a reference to each thing that comprises the equipment and to each component or part of those things.
  • Hire and Use
    • The Supplier hires the Equipment to the Hirer for the Hire Period.
    • The Supplier agrees that while the Hirer pays the Hire Fee and performs the Hirer’s obligations under this Agreement, the Hirer may keep possession of the Equipment and may use it without interruption from the Supplier or persons claiming possession of the Equipment through the Supplier.
  • Supplier’s promises about the Equipment
    • TheSupplier promises theHirer that theEquipment:
      • substantially conforms to specification of it given by the Supplier;
      • is of satisfactory quality; and
      • is fit for any purpose held out by the Hirer as the purpose for which it wanted the Equipment.
  • Payment
    • TheHirer promises theSupplier that theHirer will:
      • pay the Hire Fee punctually without demand without any deduction, counterclaim, or set-off; and
      • Hire fees as set out below:
        Basic Test £100.00
        Standard Test £125.00
        Comprehensive Test £395.00
    • Payment is required at time of hiring equipment. Hirer is responsible for all carriage costs incurred.
    • The Hirer will pay Interest at of 7% above Bank of England base rate, to the Supplier on any money that is not paid on the due date for payment from the due date for payment until the actual date of payment.
    • Equipment to be returned to Supplier within 7 days.
    • Hirer’s information will be passed on to a Debt Collection Agency to pursue equipment not returned within 30 days from date of initial hire. Interest will be compounded annually.
  • Inspection
    • TheHirer promises theSupplier that theHirer will:
      • inspect the Equipment on delivery of it;
      • notify the Supplier in writing and as soon as reasonably practicable of any defect in the Equipment; and
      • allow the Supplier (on reasonable notice) at any time access to inspect the Equipment.
    • If theHirer does not give notification under clause Error: Reference source not found then theHirer will be deemed to accept that the Equipment is:
      • complete;
      • in good order and condition;
      • fit for the purpose for which the Hirer requires it; and
      • in every way satisfactory to the Hirer.
  • Delivery of the Equipment
    • The Supplier will use reasonable endeavours to deliver the Equipment to the Hirer at the Location
    • The Hirer will:
      • be present at the delivery of the Equipment;
      • if required by theSupplier, the Hirer will sign a receipt confirming that theHirer has
        • inspected the Equipment,
        • found theEquipment to be:
          • in good condition;
          • complete; and
          • fit in every way for the purpose for which the Hirer intends it.
  • Use of the Equipment
    • TheHirer promises theSupplier that theHirer will:
      • use theEquipment:
        • in a skilful and proper manner,
        • in accordance with any operating instructions issued for it
  • Repair of the Equipment
    • TheHirer promises theSupplier that theHirer will:
      • keep theEquipment:
        • in good repair, condition, and working order;
  • The Business of the Hirer
    • TheHirer promises theSupplier that theHirer will:
      • not do anything that leads any person to attempt to seize, distrain, take possession of, or to attempt to execute any civil recovery or judgement on the Equipment
  • Insurance
    • If there is a total loss of theEquipment, then7 Working Days after the event that gave rise to the total losstheHirer will pay to theSupplier:
      • any arrears of the Hire Fee (including a Hire Fee for any period during which the Equipment is broken);
      • all the Hire Fee the Hirer agreed to pay until the end of the Primary Period;
      • any damages for any breach of this Agreement; and
      • the proper costs and expenses (including legal fees) incurred by the Supplier in or towards enforcing its rights under this Agreement;
    • If there is loss or damage to theEquipment that is not a total loss to theEquipment, then the Hirer will:
      • notify the Supplier in writing as soon as reasonably practicable;
    • The Hirer will indemnify the Supplier against all loss or damage to the Equipment that happens before the Supplier has retaken physical possession of the Equipment to the extent that the Supplier is not indemnified by his insurance.
  • Possession of the Equipment
    • The Hirer promises the Supplier that the Hirer will keep the Equipment in its own possession at the Location.
  • Dealings with the Equipment
    • TheHirer promises theSupplier that theHirer will:
      • not dispose of the Equipment;
      • offer to dispose of the Equipment;
      • attempt to dispose of the Equipment; or
      • purport to dispose of the Equipment.
  • Indemnity
    • TheHirer will indemnify theSupplier against:
      • all loss, actions, claims, demands, proceedings (whether criminal or civil), costs, legal expenses (on a full indemnity basis), insurance premiums and calls, liabilities, judgements, damages or other sanctions whenever arising, directly or indirectly from the Hirer’s failure or alleged failure to perform its obligations under this Agreement;
      • any loss, injury or damage suffered by any person (including without limitation the Supplier) because of the presence of the Equipment;
      • the delivery, possession, hiring, transportation, condition, use, operation, removal or return of the Equipment;
      • the sale or disposal by the Supplier of the Equipment;
      • any defect in the Equipment or its design, manufacture, testing, maintenance or overhaul; and
      • the Supplier’s exercising any right in respect of the Equipment, its ownership, or its hiring.
  • Return of the Equipment
    • TheHirer promises theSupplier that theHirer will:
      • deliver the Equipment to theSupplier at the end of theHire Period:
        • in a condition that complies with the full performance of the Hirer’s obligations under this Agreement;
        • at such address in Great Britain as the Supplier has then notified to the Hirer;
  • Default or breach
    • TheSupplier may terminate the hiring under this Agreement on the occurrence of any of the following events:
      • the Hirer does not pay money any under this Agreement at the times and in the manner required by this Agreement;
      • any breach of:
        • any of the Hirer’s obligations under this Agreement;
        • any condition of this Agreement;
        • any other agreement between the Supplier and the Hirer;
        • any agreement between the Supplier and any company that is a member of the same Group as the Hirer;
        • any agreement between any company that is a member of the same Group as the Supplier and the Hirer; and
        • any agreement between any company that is a member of the same Group as the Supplier and any company that is a member of the same Group as the Hirer.
      • any of these things happening to theHirer:
        • death;
        • bankruptcy;
        • made the subject of:
          • distress;
          • civil recovery;
          • execution; or
          • anything similar in any jurisdiction that is not England & Wales.
        • if the Hirer abandons the Equipment.
  • Consequences of termination
    • On termination under clause 16:
      • the Supplier’s consent to the Hirer’s possession of the Equipment will determine immediately; and
      • the Supplier will have the rights to take possession of the Equipment wherever it may be.
    • On termination under clause 16 theHirer will pay to theSupplier:
      • any arrears of the Hire Fee (including an apportionment of the Hire Fee for any period during which the Equipment was broken);
      • any damages for any breach of this Agreement; and
      • the proper costs and expenses (including legal fees) incurred by the Supplier in or towards enforcing its rights under this Agreement;
  • Hirer’s right to terminate
    • The Hirer may terminate the hiring of the Equipment at any time.
    • On terminating the hiring of the Equipment the Hirer must as soon as reasonably practicable return the Equipment to the Supplier.
    • A refund of 50% of Hire cost will be returned to Hirer only where equipment is returned to The Sleep Disorders Clinic Ltd, within 7 days from date of termination.
  • Ownership
    • TheHirer acknowledges that:
      • The Supplier will at all times retain the ownership of the Equipment;
      • The Hirer will have no right of ownership in the Equipment;
  • Entire Agreement

    This Agreement:

    • Is the entire agreement between the Supplier and the Hirer about its subject matter; and
  • Variations
    • No variation to this Agreement is to be deemed to be effective unless it has been made in writing and signed on behalf of each of the Supplier and the Hirer.
  • Notices

    Any written communication from the Supplier to the Hirer:

    • Will be sufficiently served if sent by prepaid post or letter or delivered by hand either to:
      • the address of theHirer:
        • in the parties’ clause of this Agreement; or
        • in the United Kingdom notified by the Hirer in writing to the Suppler after the date of this Agreement; or
      • the registered office of the Hirer.
    • If sent by post or letter will be deemed to have been received by theHirer
      • 48 hours after the time of posting; or
      • at the date of delivery if delivered other than by post.
  • Proper law and jurisdiction
    • This Agreement is to be governed and construed according to the law of England & Wales.
    • The Courts of England & Wales are to have exclusive jurisdiction over this Agreement and the Equipment.
  • Use of confidential information
    • TheSupplier may use information it obtains from theHirer under or in relation to this Agreement or from any credit reference or fraud prevention agencies:
      • to assess the Hirer’s application, manage the Hirer’s account and provide the Supplier’s services and to carry out market research;
      • to recover debts, prevent fraud, and to detect money laundering activity;
      • to develop, improve and market the Supplier’s products and services;
    • TheSupplier may:
      • use a credit scoring or other automated decision making system;
      • add to the Hirer’s record with any credit reference agency details of this Agreement and any default or failure to keep to its terms;
      • may check the details with fraud prevention agencies;
      • share record with other organisations to:
        • trace debtors;
        • recover debt;
        • prevent money laundering and fraud; and
        • manage the Hirer’s accounts.
  • Other organisations may include any organisations which:
    • introduced the Supplier;
    • act on the Hirer’s;
    • act on the Supplier’s behalf;
    • banks, hirers and funders of equipment;
    • have a legal right to such information;
  • Severance
    • If any court or competent authority finds that anything in this Agreement is invalid, illegal, or unenforceable then:
      • that thing is to be deemed to be deleted;
      • the validity, legality, and enforceability of the other things in this Agreement will not be affected; and
      • if it would be valid, enforceable and legal if some part of it were deleted then it is to apply with the minimum modification necessary to make it legal, valid, and enforceable.

The relevant information is then used by us to communicate with you on any matter relating to your account and the provision of the goods and services in general. If you agree, we may also contact you about other products and services we think may be of interest to you.

We may also use aggregate information and statistics for the purposes of monitoring website usage in order to help us to develop our website and our services. These statistics will not include information that can be used to identify you.

From time to time we may provide your information to our customer service agencies for research and analysis purposes so that we can monitor and improve the good and services that we provide. We or our agents and sub-contractors may contact you by post, email or telephone to ask you for your feedback and comments on our goods and services.
